TERMS OF USE AND PRIVACY POLICY OF ECOLIFE CONSULTORIA AMBIENTAL LTDA. Welcome to the ECOLIFE platform. Ecolife Consultoria Ambiental Ltda. reserves the right to change the terms of use and privacy policy at any time. 1. INTRODUCTION 1.1 Our goal is to be a facilitator in the carbon credit market, bringing together sellers and buyers, providing and managing information on assets available for sale, with strict observance of the regulations in force in the country. 1.2 We recommend that you carefully read the General Terms of Use of the platform created and made available by ECOLIFE Consultoria Ambiental LTDA (“Ecolife”), registered with the CNPJ under no. 53.148.536/0001-15, with headquarters at CLN 306, Bloco C, Sala 117, Asa Norte, Brasília – DF, CEP 70.745-530, before using the services or creating an access account ('Account'). 1.3 The services ('Services') that we provide and/or make available include (a) the Website, (b) the services provided by the Website and the ECOLIFE client software made available through the Website, and (c) all information, linked pages, resources, data, text, images, photographs, graphics, videos, messages, programming, software, application services (including, without limitation, any mobile application services) or other materials made available through the Website or related services ('Content'); and (d) payment and payment account management services to be performed by the company IUGU. 1.4 By accessing and using the platform services, the user agrees to the provisions of this instrument, which establishes a contractual relationship between you and ECOLIFE Consultoria Ambiental LTDA. 1.5 Any new features added or supplemented to the “Services” are also subject to these General Terms of Use, and any amendments will come into effect upon publication of the new version of the document. 2. TERMS OF USE OF THE SERVICES OF ECOLIFE CONSULTORIA AMBIENTAL LTDA AND CONSENT TO THE TERMS OF THIS POLICY 2.1 The User consents, agrees and fully accepts the provisions of this Policy when using the Services of Ecolife Consultoria Ambiental Ltda. Ecolife Services are provided in accordance with this Policy, therefore, the User should only use Ecolife Services if he/she fully agrees with this Policy. 2.2 All content, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom such content originated. This means that you, and not ECOLIFE, are entirely responsible for all content that you post, email, transmit or otherwise make available via the Site. You understand that by using the Site, you may be exposed to content that you find offensive, indecent or objectionable. To the maximum extent permitted by applicable law, under no circumstances will ECOLIFE be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of or reliance on any content posted, emailed, transmitted or otherwise made available via the Site. 3 YOUR REPRESENTATIONS AND WARRANTIES 3.1 You represent and warrant that: (a) you have full civil capacity to adhere to this document and the transactions contained therein and, if you are a minor or emancipated, you will be legally represented, and must present supporting documents in accordance with art. 5 of the Civil Code; and (b) you will use the Services only for purposes within the law and in accordance with these Terms and Conditions of Use, with the applicable rules, codes, directives, guidelines, policies and regulations. 4. INDEPENDENCE 4.1 If any provision of these Terms of Service is found to be unlawful, void or, for any reason, unenforceable under the law of any jurisdiction, that provision shall be deemed severable from these Terms of Service and shall not affect the validity and enforceability of any remaining provisions in such jurisdiction, nor the validity and enforceability of the provision in question under the law of any other jurisdiction. 5. DISCLAIMER 5.1 ECOLIFE shall not be liable for any damages caused to Users, given that its liability is limited to the intermediation Services provided through the Platform made available by it. 5.2 Products provided by Sellers and/or third parties are provided “as is” and without warranties, claims or representations made by ECOLIFE, of any kind, express, implied or statutory, with respect to the services, including, without limitation, warranty of quality, performance, non-infringement, merchantability or fitness for a particular purpose, nor are there any warranties created, nor are there any warranties created by course of dealing, performance or trade usage. Without limiting the foregoing and to the maximum extent permitted by applicable law, Ecolife Consultoria does not guarantee that the Services, the Site or the functions contained therein will be available, accessible, uninterrupted, timely, secure, accurate, complete or error-free, that defects (if any) will be corrected or that the Site and/or the server that makes them available are free of viruses, timers, counters, worms, software crashes, inoperable devices, trojan horses, traps, time bombs or any other harmful codes, instructions, programs or components. 5.3 You acknowledge that the entire risk arising from your use of the Website and/or Services lies with you to the maximum extent permitted by applicable law. 5.4 Under no circumstances shall Ecolife be liable: (a) for any act or omission performed and/or damage caused by the User resulting from access to the Website and/or the Features; (b) for the improper use of the Website and/or the Features by any User; (c) for links and website(s) of partners/third parties, the User being subject to the terms of use and privacy policies of the respective website(s); (d) for failures, technical impossibilities or unavailability of the Ecolife system and/or Features due to the fault of the User, third parties, unforeseeable circumstances or force majeure; and (e) by installing viruses, Trojans, malware, worms, bots, backdoors, spyware, rootkits, or any other devices that may be created on the User's or third-party equipment as a result of the User's Internet browsing. 6. PRIVACY POLICY 6.1 This Policy was prepared in accordance with Law No. 13,709/18 (“General Personal Data Protection Law”) and Law No. 12,965/14 (“Internet Civil Rights Framework”) and demonstrates ECOLIFE CONSULTORIA AMBIENTAL LTDA's commitment to protecting the data and privacy of its USERS, ensuring that the processing of personal data will only serve to enable the development of its activities and the provision of quality services, in compliance with the terms of the applicable legislation. 6.2 Your privacy is very important to us at Ecolife. To better protect your rights, we provide our Privacy Policy in our application to explain our privacy practices in detail. Please review the Privacy Policy to understand how Ecolife collects and uses information associated with your Account and/or your use of the Services (the “User Information”). By using the Services or providing information on the Application, you: (i) consent to Ecolife’s collection, use, disclosure and/or processing of your content, personal data and User Information as described in the Privacy Policy; (ii) agree and acknowledge that the proprietary rights in your User Information, except for data that qualifies as personal, are jointly owned by you and Ecolife; and (iii) shall not, directly or indirectly, disclose your User Information to any third party, or otherwise permit any third party to access or use your User Information without Ecolife’s prior written consent. 6.3 Users in possession of another User’s personal data through their use of the Services (the ‘Receiving Party’) agree that: (i) they will comply with all applicable personal data protection laws with respect to such data; (ii) allow the User whose personal data has been collected (the “Disclosing Party”) by the Receiving Party to remove their collected data from the Receiving Party’s database; and (iii) allow the Disclosing Party to review what information has been collected about them by the Receiving Party in each of cases (ii) and (iii) above, in accordance with applicable laws and wherever they are required. 7. INTELLECTUAL PROPERTY 7.1 The following are the property of Ecolife Consultoria Ambiental Ltda: (a) any and all software or features used in the provision of Ecolife Services; (b) the visual identity of the features (including the graphic-visual art design of any of its pages); (c) the company name, brand, domain name, slogan or advertising expression or any distinctive sign of its ownership inserted in the features; and (d) any and all content created and produced by Ecolife, by itself or by third parties, which may not be used, under any means or form, by the User. 7.2 You acknowledge, consent and agree that Ecolife Consultoria Ambiental may access, preserve and disclose your account information and content to any legal, regulatory or governmental authority, the relevant rights holder or third party if required to do so by law, pursuant to an order of a court or by any governmental or regulatory authority having jurisdiction over Ecolife or acting in good faith that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms of Service or our Prohibited and Restricted Products Policy; (c) respond to claims that any content violates the rights of third parties, including intellectual property rights; (d) respond to customer service requests; or (e) protect the rights, property or personal safety of Ecolife, its Users and/or the public. 8.0 EXCLUSIONS AND LIMITATIONS OF LEGAL LIABILITY 8.1 In no event shall Ecolife be liable, whether in contract, warranty, tort (including, without limitation, negligence, whether active, passive or imputed, product liability, strict liability or other theory), or other cause of action at law, in equity, by statute or otherwise, for: (i) (a) loss of use; (b) loss of profits; (c) loss of revenues; (d) loss of data; (e) loss of goodwill; (f) loss of opportunity; or (g) failure to realize anticipated savings, in each case whether directly or indirectly; (ii) any indirect, incidental, special or consequential damages arising out of or in connection with the use of or inability to use the Site or Services caused by technical and/or operational defects resulting from Users' systems and/or the actions or service of third parties including, without limitation, any damages resulting therefrom, even if Ecolife has been advised of the possibility of such damages; or (iii) Products and any content provided by Sellers, Users and/or third parties. 8.2 Ecolife is also not responsible for: (i) Any damage to Users or third parties caused by the use, inappropriate or otherwise, of the Website and Services; (ii) The accuracy of comments or information or content included on the Website by Users; (iii) Any damage or loss of the User's device or equipment caused by system, server or internet failures due to actions by third parties, unforeseeable circumstances, force majeure or events supervening on the act of joining the ecolife platform, as per articles 478 to 480 of the Civil Code); (iv) Damage to the User's equipment due to malware attacks or any other type of coded program or malicious software caused by accessing, using or browsing the platform; (v) Damage or loss caused by technical failure in Ecolife's systems; (vi) Services and resources made available through Ecolife, which are provided “as is”, without any express or implied warranty, including, but not limited to, warranties of merchantability, fitness for a particular purpose, protection and non-infringement against computer viruses or other malicious code. Therefore, you agree that Ecolife will only be liable for defective Services in the event of proven gross negligence or willful misconduct; (viii) Control over how or when Users will use the Services or resources, services and interfaces provided by these Services; (ix) Constant availability of the Website or platform. Users acknowledge that due to operational problems, especially related to services provided by third parties, the Website or platform are subject to possible interruptions, technical failures and temporary unavailability, without giving rise to rights for damages at any time, in any unforeseeable circumstances. 8.3 Nothing in these Terms of Service shall limit or exclude any legal liability for personal injury or death caused by Ecolife’s negligence, for fraud or for any other legal liability on the part of Ecolife that cannot be legally limited and/or excluded. Safeguarding the clear and certain right to defense and the full exercise of the adversarial system according to art. 5, LV of the Brazilian Federal Constitution. 8.4 Ecolife reserves the right to change, modify, suspend or terminate all or any part of the Site or Services at any time, or upon notice as required by local laws. Ecolife may release certain Services or their features, which may not function correctly or in the same way as they will function in the final version, and we will not be responsible in these cases. Ecolife may also impose limits on certain features or restrict your access to parts of it or to it as a whole, the Site or the Services at its sole discretion and without notice or liability. 9. CHANGES TO THE TERMS 9.1 Ecolife may modify these Terms of Service at any time by posting them in a revised form on the Site. Your continued use of the Site and/or receipt of any Services (including maintaining an Ecolife Account) after any changes have been posted will constitute your acceptance of such revised Terms of Service. 10. ACCOUNT TERMINATION 10.1 SUSPICIOUS OR FRAUDULENT ACTIVITY 10.2 If Ecolife, in its sole discretion, believes that you may have engaged in any potentially fraudulent or suspicious activity and/or transactions, we may take various actions to protect Ecolife, other Buyers or Sellers, third parties or you. Actions that may be taken include, but are not limited to, the following: (a) Terminating, suspending or limiting your access to your Account or the Services, and/or suspending the processing of any transaction; (c) Refusing to provide the Services to you now or in the future; (d) Preventatively blocking the movement of your funds for a reasonable period of time necessary to protect Ecolife or third parties from the risk of legal liability, or if we believe that you may be engaged in potentially suspicious or fraudulent activity and/or transactions. 11. VIOLATION OF OUR TERMS OF SERVICE 11.1 Violations of this policy may result in a range of actions, including, without limitation, any of the following: (a) Listing Removal; (b) Limitations placed on Account privileges; (c) Account suspension and subsequent termination; (d) Criminal charges; (e) Civil actions, including, without limitation, claims for damages and/or injunctive or provisional relief 11.2 If you believe that a Site User is violating these Terms of Service, please notify us immediately. 12. APPLICABLE LEGISLATION 12.1 The Services offered and provided by Ecolife include an online platform service that provides a place and opportunity for the sale of goods between the buyer (“Buyer”) and the seller (“Seller”) (collectively “you”, “Users” or “Parties Involved”), intermediating and connecting the Parties Involved so that they can engage in commercial transactions (“Platform”). As clarified in item 1.1 (d) above, the payment and payment account management services are provided by IUGU, under its exclusive responsibility and in compliance with the applicable legislation, not to be confused with the technological intermediation Services performed by Ecolife as an internet application provider, under Federal Law 12.965/14. Therefore, the technological Services provided through the Platform to its Users are limited to the intermediation and connection between Buyers and Sellers, which means that the true sales contract is directly between the Buyer and the Seller. Ecolife is not a party to this contract or any other contract between the Buyer and the Seller, and is not responsible for the same. The parties involved in this transaction are entirely responsible for the sales contract between them, advertisement of goods, purchase guarantee and the like. Ecolife is not involved in the transaction between Users. Ecolife may or may not pre-screen Users, the content or information provided by Users. Ecolife reserves the right to remove any content or information posted by you on the Site in accordance with item 6.4 of these Terms of Service. Ecolife cannot guarantee that Users will actually complete the transaction. 13. PURCHASE AND PAYMENT 13.1 The Buyer may make payment for a purchase on the Site in accordance with the payment methods made available on the Site, which will be operated by IUGU and/or its partners. 13.2 The Buyer may only change their chosen payment method before making the payment. 13.3 Ecolife assumes no responsibility and shall not be liable for any loss or damage to the Buyer arising from information entered by the Buyer or erroneous shipment by the Buyer in connection with payment for the items purchased. We reserve the right to verify that the Buyer is duly authorized to use a particular payment method and may suspend the transaction until such authorization is confirmed or cancel the transaction where such confirmation is not available. 14. PAYMENT SERVICES 10.1 The payment services offered through the platform for Sellers and Buyers will be governed by the company IUGU. 15. CANCELLATION, RETURN AND REFUND 15.1 The Buyer must request the return of the amount of the product purchased (free of charge) and a refund, if requested within 7 (seven) days after confirmation of purchase of such product. If the refund request requested by the Buyer was caused by the Seller's fault, the marketing fees with IUGU will be immediately debited and discounted from the Seller's account. 15.2 It is important to emphasize that the Seller is exclusively responsible for any products sold by him/her on the Ecolife Platform. Therefore, you, the Buyer, acknowledge that Ecolife has no responsibility for the products sold by the Sellers, acknowledging that Ecolife acts as a mere intermediary in the relationship between Buyers and Sellers, as an internet application provider, and agreeing to hold it harmless and indemnified in the event of problems related to the suitability of the products purchased from the Sellers, agreeing that any complaints must be handled and resolved by the Sellers and, in the event of legal action being taken, these must be taken exclusively against the Sellers, refraining from including Ecolife as a passive party in such claims. 15.3 Ecolife reserves the right to cancel any transaction based on a flagrant error and/or suspicion of fraud on the Website, and the Buyer agrees that his/her only recourse will be to receive a refund. 16. SELLER RESPONSIBILITIES 16.1 The Seller shall be solely responsible for the existence, quantity, quality, regularity, condition, integrity and legitimacy of the credits offered, acquired or sold through the Platform. Furthermore, the Seller acknowledges that it is his/her sole responsibility to comply with all laws and regulations applicable to his/her credits, including obtaining, validating and regularizing all licenses, authorizations and permits, registrations and certifications, as well as necessary operating licenses and authorizations as defined by the competent authorities. 16.2 The Seller is responsible for effectively fulfilling its obligations to Buyers/Users. The Seller acknowledges and accepts that, when carrying out transactions with other Users or third parties, he/she does so at his/her own risk, recognizing that Ecolife Services are limited to providing technological support related to the Content. 16.3 The Seller shall properly manage and ensure that all relevant information such as price and details of the products, availability, terms and conditions of sale are up to date in the Seller’s listing and shall not post inaccurate or misleading information, in accordance with applicable consumer protection laws and regulations. 16.4 The price of the products for sale shall be determined by the Seller at its sole discretion. The Price of a product and shipping charges shall include the total amount to be charged to the Buyer as sales tax, additional fees, duties, etc. and the Seller may not charge the Buyer such amounts separately and in addition. 16.5 For the purpose of promoting the sales of the products advertised by Sellers, Ecolife may post such products (with the price adjusted for transaction, exchange or other related fees) on third party websites (such as website portals and comparison sites) as well as on websites (domestic or foreign) operated by Ecolife. 16.6 IUGU shall issue proof of purchase, credit card receipts or invoices to the Buyer upon request. 16.7 The Seller acknowledges and accepts that violations of any Ecolife policies will result in a range of actions. 16.8 In cases where the regularity and/or volume characterizes a commercial intent in relation to its sales, the Seller shall change its Account profile and submit all documents and information required for said change in accordance with current legislation, observing the procedures and deadlines established by Ecolife. 17. INDEMNIFICATION 13.1 Sellers agree to indemnify, defend and hold harmless Ecolife and its shareholders, subsidiaries, affiliates, directors, officers, agents, co-branders or other partners, and employees (collectively, the “Indemnified Parties”) from and against any claims, actions, proceedings, demands and all other liabilities, damages, settlements, penalties, fines, costs and expenses (including, without limitation, those incurred by any Indemnified Party, arising out of or in connection with: (a) any transaction entered into on the Site, (b) the hosting, operation, management and/or administration of the Services by or on behalf of Ecolife, (c) your violation or breach of any term of these Terms of Service or any policies or guidelines referenced herein, (d) your use or misuse of the Services, (d) your violation of any laws or rights of a third party, or (d) any Content submitted by you. Ecolife may deduct from any amount payable to Seller all taxes, penalties, and legal fees of any nature whatsoever imposed on Ecolife based on any breach of these Terms of Service by Seller. PRIVACY POLICY 18 YOUR CONTRIBUTIONS TO THE SERVICES 18.1 By submitting Content for inclusion on the Services, you represent and warrant that you have all rights and/or permissions necessary to grant the licenses below to Ecolife. You further acknowledge and agree that you are solely responsible for anything you post or otherwise make available to the Services, including, without limitation, the accuracy, reliability, nature, release of rights, compliance with laws and legal restrictions associated with any such Content contribution. You hereby grant to Ecolife and its successors a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, copy, distribute, republish, transmit, modify, adapt, create derivative works from, publicly display and perform such Contributed Content through or in connection with the Services in any media formats and through any media channels, including, without limitation, for promoting and redistributing portions of the Services (and derivative works thereof) without attribution, and you agree to waive any moral rights (and any similar rights anywhere in the world) in this regard. You understand that your Contribution may be transmitted over various networks and modified to conform and adapt to technical requirements. 18.2 Any content, material, information or ideas you post on or through the Services, or otherwise transmit to Ecolife by any means (each, a “Submission”), is not considered confidential by Ecolife and may be disseminated or used by Ecolife without compensation or liability to you for any purpose whatsoever, including, but not limited to, developing and marketing products. By making a Submission to Ecolife, you acknowledge and agree that Ecolife and/or third parties may independently develop software, applications, interfaces, products and modifications or enhancements thereto that are identical or similar in functionality, code or other characteristics to the ideas set forth in your Submission. Accordingly, you hereby grant to Ecolife and its successors a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable and transferable license to develop the products identified above, and to use, copy, distribute, republish, transmit, modify, adapt, create derivative works from, publicly display and publicly perform any submissions on or in connection with the Services in any media formats and through any media channels, including, without limitation, for promoting and redistributing portions of the Services (and derivative works thereof). This provision does not apply to personal information subject to our privacy policy, except for information that you publicly make available on or through the Services. 19 SOFTWARE 19.1. Any software provided by us to you as part of the Services is subject to the provisions of these Terms of Service. Ecolife reserves all rights to the software not expressly granted herein. Any third party scripts or code linked or referenced from the Services are licensed to you by the third party that owns such scripts or code, and not by Ecolife. 20 ACCOUNTS AND SECURITY 20.1 Some features of our Services require you to register for an account by selecting a unique User ID ('User ID') and password, along with providing certain personal information. If you select a User ID that Ecolife, in its sole discretion, considers offensive or inappropriate, Ecolife has the right to suspend or terminate your account. You may use your account to gain access to other products, websites or services to which we have enabled access, or with which we link or collaborate. 21 REPORTING INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS 21.1 As set out above, Ecolife does not permit the insertion and/or commercialization on its Platform of Content that violates the copyright, trademark rights or intellectual property rights in general (IPR) of third parties (“IPR Owner”). 21.2 Unless expressly provided otherwise, Users are individuals or individual companies and are not associated with Ecolife in any way, and Life is not us or a representative of Users and does not own or endorse any of the advertisements on the Application. 21.3 Each and every User of the Platform, especially Seller Users, agree to indemnify Ecolife and its Affiliates from all claims, complaints, demands and judgments, as well as damages and losses arising from the removal of any Content or product advertisement in connection with any claim of intellectual property infringement. 22. TREATMENT OF CHILDREN 22.1 Ecolife reserves the right to suspend your access to the Site, Services or opening an account if it determines, in its sole discretion, that your access or opening of an Account violates the Terms of Service and/or applicable laws and regulations. By using Ecolife Services or opening an account, you agree and consent to the terms of these Terms of Service and any policies, rules and appendices linked hereto. If you do not agree to these terms, please do not use our Services or access the Site. If you are under 18 years of age or under the legal age to consent to the terms below under the applicable laws in your country (the “legal age”), you must obtain the permission of a parent or legal guardian to open an account, and such parent or legal guardian must agree to the terms of this agreement with appropriate supporting documentation required by law. If you are unsure whether you have reached the legal age, or do not understand this section, please do not create an account until you have asked your parent or legal guardian for assistance. If you are the parent or legal guardian of a minor who is creating an account, you must accept the terms of this agreement on his or her behalf, and you will be responsible for all use of the account or Company Services used under that account, whether the account is currently open or created later. 23. GENERAL PROVISIONS  23.1 Ecolife reserves all rights not expressly granted herein. 23.2 You may not assign, sublicense or transfer any of the rights granted to you in these Terms of Service or subcontract any of your obligations. 23.3 Nothing in these Terms of Service shall create a partnership, joint venture or principal agent relationship between you and Ecolife, nor shall it entitle you to incur any legal costs or liabilities on Ecolife’s behalf. 23.4 Ecolife’s failure at any time to require performance of any provision of these Terms of Service shall not in any way affect its right to enforce such provision at a later date, except where such provision has been waived in writing. 23.5 These Terms of Service are for your benefit only and not for the benefit of any other person or entity, except for Ecolife’s affiliates and subsidiaries (and each of their respective successors and assigns). 23.6 The terms set out in these Terms of Service and any agreements and policies included or referred to in these Terms of Service constitute the entire agreement and understanding of the parties with respect to the Services and the Website and supersede any prior agreement or understanding between the parties with respect to such subject matter. The parties also hereby exclude all implied terms. In entering into the agreement formed by these Terms of Service, the parties have not relied on any statement, representation, warranty, understanding, undertaking, promise or assumption of any person other than as expressly set forth in these Terms of Service. Each party irrevocably and unconditionally waives all claims, rights and remedies which, but for this section, might have arisen in connection with any of the foregoing. These Terms of Service may not be contradicted, explained or supplemented by evidence of any prior agreement, any contemporaneous oral agreement or any additional consistent terms. 24 DOCUMENTATION POLICY AND USER LIABILITY: 24.1 By using the App, you agree to provide truthful information. Submission of falsified or misleading documents, as well as any other form of document fraud, is strictly prohibited. Any violation of this policy will constitute a breach of our Terms of Use and may result in disciplinary action at our discretion, including but not limited to: 24.2 TEMPORARY SUSPENSION: We may temporarily suspend your account, subject to a full investigation, if we reasonably suspect that you have falsified documents. 24.3 PERMANENT BAN: Confirmation of any document falsification activity may result in a permanent ban of your account, with immediate termination of your rights to use the App. 24.4 LEGAL LIABILITY: We reserve the right to take appropriate legal action, if necessary, to protect our interests and the interests of other users. 25.
